1. Acceptance of Orders

All orders submitted to Sunol Tech LLC are subject to acceptance, product availability, and final confirmation. Sunol Tech reserves the right to refuse, cancel, or modify any order at its discretion.

2. Pricing and Quotations

Prices are subject to change without notice. Quoted pricing is valid only for the period stated on the quotation. Errors in pricing, product descriptions, or availability may be corrected at any time.

3. Payment Terms

Payment terms are stated on the applicable quotation, invoice, or written agreement. Accepted payment methods may include ACH transfer, wire transfer, company check, or approved net terms.

Late payments may be subject to finance charges, collection costs, or suspension of future orders as permitted by law.

4. Shipping and Delivery

Delivery dates are estimates only and are not guaranteed. Sunol Tech is not responsible for delays caused by manufacturers, suppliers, carriers, customs agencies, supply chain disruptions, or events beyond its control.

Unless otherwise stated in writing, risk of loss transfers to the customer upon shipment.

5. Product Availability

Products may be discontinued, delayed, allocated, backordered, or replaced by manufacturers without notice. Sunol Tech may recommend equivalent or alternative products when appropriate and approved by the customer.

6. Returns

Returns require prior written authorization from Sunol Tech. Products returned without authorization may be refused.

• Special-order products may not be returnable.
• Custom-configured products may not be returnable.
• Software, licenses, subscriptions, and digital products may not be returnable.
• Opened or used products may be subject to restocking fees.

7. Warranty

Products are generally covered by the original manufacturer warranty, if applicable. Sunol Tech makes no additional warranties unless expressly stated in writing.

To the maximum extent permitted by law, implied warranties, including merchantability and fitness for a particular purpose, are disclaimed.

8. Limitation of Liability

Sunol Tech shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, business interruption, loss of data, or loss of revenue.

Sunol Tech’s total liability shall not exceed the amount paid by the customer for the affected product or service.

9. Export Compliance

Customers agree to comply with all applicable export control laws and regulations. Products may not be exported, re-exported, transferred, or used in violation of applicable laws.

10. Intellectual Property

All trademarks, logos, product names, and brand names are the property of their respective owners. References to third-party manufacturers do not imply ownership, sponsorship, or endorsement unless expressly stated.

11. Force Majeure

Sunol Tech shall not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, labor disputes, transportation disruptions, government actions, cyber incidents, supply shortages, utility failures, or other force majeure events.

12. Governing Law

These Terms of Sale shall be governed by the laws of the State of California, without regard to conflict-of-law principles.
